Voiceform Terms of Service

Welcome to Voiceform! These Terms of Service ("Terms") govern your access to and use of the Voiceform website, platform, and services (collectively, the "Services"). Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility and Account Creation

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

2. Use of Services

Subject to your compliance with these Terms, Voiceform grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purposes. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer or sell any content, software, products or services obtained from the Services without our prior written consent.

You agree to use the Services in compliance with all applicable laws and regulations. You may not use the Services to:

- Upload or transmit any content that infringes any intellectual property or proprietary rights

- Upload or transmit any content that is defamatory, obscene, threatening, abusive, or hateful

- Interfere with the functionality or security features of the Services

- Attempt to gain unauthorized access to the Services or its related systems

- Use the Services for any fraudulent or illegal purpose

3. Intellectual Property

The Services and their original content, features, and functionality are owned by Voiceform and are protected by Canadian, American, and international intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our express written consent.

4. User Content

The Services may allow you to upload, submit, store, or transmit content—including text, images, audio, and video ("User Content"). You retain all ownership and intellectual property rights in your User Content.

By making your User Content available through the Services, you grant Voiceform a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, and distribute your User Content solely for:

(a) Operating and improving the Services;

(b) Providing research insights to the authorized research organizations commissioning the relevant study;

(c) Processing data in accordance with our Privacy Policy; and

(d) Complying with legal obligations.

You are responsible for ensuring you have all necessary rights to grant this license and warrant that your User Content complies with applicable laws and doesn't violate third-party rights.

If you delete your User Content, we will cease using it for ongoing services, though we may retain copies for legal compliance and research requirements.

5. Publicity

For Organizations, unless otherwise specified in an ordering document or quote, you grant Voiceform a limited, worldwide, non-exclusive, non-transferable, license to use the trade-marks and trade-names of Customer (“Customer Marks”) for the sole purpose of displaying Customer Marks in marketing efforts on Voiceform's Website including in customer lists, blogs, case studies and testimonials and other public communications. In simpler terms, if you are an Organization, you agree to let Voiceform use your name and logo for Voiceform's marketing purposes.

6. Refund Policy

All payments made for our services are final. We offer a trial period during which you can evaluate our services. If you choose to cancel within this trial period, you will not be charged. However, once the trial period concludes, no refunds will be issued.

7. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Voiceform. We have no control over the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that Voiceform shall not be responsible or liable for any damage or loss caused by your use of any third-party sites or services.

8. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Voiceform does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

10. Limitation of Liability

To the fullest extent allowed by law, in no event shall Voiceform be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of the Services, even if Voiceform has been advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify and hold harmless Voiceform from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the provincial and federal courts located in Toronto, Ontario, Canada,  for any actions related to these Terms or use of the Services.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice on by email. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

These Terms constitute the entire agreement between you and Voiceform regarding the use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
